1. Agreement to Terms
These Terms of Service govern your access to and use of Metro Analytics Inc. and the MetroAnalytics platform, including websites, dashboards, reports, forecasts, alerts, APIs, exports, enterprise tools, and related services.
By creating an account, clicking to accept, starting a trial, purchasing a subscription, requesting enterprise access, or using the service, you agree to these Terms. If you use the service for an organization, you represent that you have authority to bind that organization.
2. Service Description
Metro Analytics provides housing market intelligence, market scores, forecasts, dashboards, research, watchlists, alerts, property and market context, data exports, and enterprise analytics based on public, licensed, aggregated, modeled, and user-submitted data.
The service is for informational, research, operational, and business intelligence purposes only. It is not financial, investment, tax, accounting, lending, insurance, legal, appraisal, brokerage, or real estate advice.
3. Accounts and Security
You must provide accurate account information and keep it current. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
You must promptly notify us of unauthorized access, suspected compromise, or misuse. We may suspend or restrict access if we reasonably believe your account presents a security, legal, billing, or platform integrity risk.
4. Trials, Subscriptions, Billing, and Cancellation
Some plans may begin with a free trial. Unless otherwise stated at checkout, paid plans renew automatically at the selected billing interval until canceled.
Payments are processed by Stripe. You authorize us and Stripe to charge applicable fees, taxes, renewals, upgrades, overages, and usage-based charges to your selected payment method.
You may cancel through your account billing portal or by contacting support. Cancellation takes effect at the end of the then-current billing period unless we state otherwise. Fees already paid are non-refundable except where required by law or expressly stated in a written agreement.
We may change pricing or plan features with notice where required. If you continue using the service after a change takes effect, you accept the updated pricing or plan terms.
5. Enterprise and API Terms
Enterprise plans, API access, white-label reports, custom data feeds, service levels, security terms, data-processing terms, and support commitments may be governed by a separate written agreement. If there is a conflict, the signed agreement controls for that enterprise customer.
You may not exceed rate limits, bypass access controls, share API keys, or use exports or APIs to replicate, resell, or compete with the service unless expressly permitted in a written agreement.
6. Acceptable Use
You may not use the service to violate laws, infringe rights, scrape or harvest data, reverse engineer models, disrupt infrastructure, upload malware, probe systems, bypass authentication, misrepresent identity, or interfere with another user.
You may not resell, sublicense, redistribute, or commercially exploit platform data, reports, scores, forecasts, exports, screenshots, API outputs, or model-derived insights except as permitted by your plan or written agreement.
You are responsible for user-submitted data and must have all rights and permissions needed to submit it to the service.
7. Data, Forecasts, and Market Disclaimers
Market scores, forecasts, rankings, research, property estimates, risk signals, comparable analyses, and trend indicators may be based on incomplete, delayed, estimated, aggregated, licensed, or sample data.
Public and third-party data sources may contain errors, omissions, delays, revisions, or methodological limitations. We do not guarantee that data or outputs are accurate, complete, current, or suitable for your specific use.
You are solely responsible for decisions made using the service, including investment, acquisition, lending, insurance, development, brokerage, appraisal, pricing, compliance, or portfolio decisions. You should verify information independently and consult qualified professionals.
8. Intellectual Property
The service, software, user interface, models, scoring systems, forecasts, reports, research, trademarks, designs, and documentation are owned by Metro Analytics or its licensors and are protected by intellectual property laws.
Subject to these Terms and your plan, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the service for your internal business or personal research purposes.
You retain ownership of content and data you submit, but you grant us a license to host, process, analyze, display, and use it to provide, secure, support, and improve the service.
9. Third-Party Services and Data Sources
The service may integrate with or rely on third-party services and data providers, including Stripe, Supabase, FRED, Freddie Mac, NAR, MBA, MLS aggregations, U.S. Census Bureau data, HUD, and other providers.
Third-party services and datasets are governed by their own terms and policies. We are not responsible for third-party availability, accuracy, changes, errors, or outages.
10. Confidentiality
If we exchange non-public business, technical, security, pricing, roadmap, model, API, or enterprise data, each party must use reasonable care to protect it and use it only for the relationship unless disclosure is required by law.
Confidentiality obligations do not apply to information that is public, independently developed, rightfully received without restriction, or approved for disclosure.
11. Privacy
Our Privacy Policy explains how we collect, use, disclose, and protect personal information. By using the service, you acknowledge our Privacy Policy.
12. Service Availability and Changes
We may modify, suspend, discontinue, or limit parts of the service at any time. We may release beta, preview, or sample features that are provided for evaluation and may change or be removed without notice.
We try to maintain reliable access, but we do not guarantee uninterrupted, error-free, or secure operation.
13. Termination
You may stop using the service at any time. We may suspend or terminate access if you violate these Terms, create risk, fail to pay, misuse data, or if required by law.
After termination, your right to access the service ends. Sections that by their nature should survive will survive, including payment obligations, intellectual property, disclaimers, limitations of liability, indemnification, confidentiality, and dispute terms.
14. Disclaimers
The service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and reliability.
We do not warrant that the service, data, forecasts, APIs, exports, reports, or alerts will meet your requirements, be uninterrupted, be error-free, or produce any business, financial, market, investment, or operational outcome.
15. Limitation of Liability
To the fullest extent permitted by law, Metro Analytics and its officers, directors, employees, contractors, affiliates, licensors, and providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, revenue, goodwill, business opportunities, or investment outcomes.
To the fullest extent permitted by law, our total liability for any claim related to the service will not exceed the greater of the amount you paid us for the service in the three months before the event giving rise to the claim or one hundred U.S. dollars.
16. Indemnification
You will defend, indemnify, and hold harmless Metro Analytics and its affiliates, providers, officers, directors, employees, and contractors from claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from your use of the service, user-submitted data, violation of these Terms, violation of law, or infringement of third-party rights.
17. Governing Law and Disputes
Unless a separate written agreement states otherwise, these Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Courts located in Delaware will have exclusive jurisdiction for disputes that are not required to be handled in another forum by applicable law.
Before filing a claim, each party agrees to try to resolve disputes informally by providing written notice and allowing 30 days for good-faith discussions.
18. Changes to Terms
We may update these Terms from time to time. When changes are material, we will provide notice where required. Continued use of the service after updated Terms become effective means you accept the updated Terms.
